A rapidly growing financial institution is seeking an experienced lawyer with an outstanding background in company law and regulatory compliance.

Head of Legal / Board Secretary

Job Summary

The appointed individual will act as the Chief Legal Advisor, overseeing and managing the legal department and board secretariat operations.

Key Responsibilities

  • Advise the board of directors on legal matters.
  • Represent the company in court and other legal forums.
  • Ensure compliance with all legal requirements for company facilities.
  • Provide legal opinions to management and other departments.
  • Draft and review contracts and agreements for both management and board.
  • Assist departments like portfolio management and recoveries in loan recovery efforts.
  • Coordinate scheduling of board meetings, including preparation of notices and agendas.
  • Liaise with all board committees to facilitate smooth operations.
  • Maintain records of board meetings, proceedings, and decisions.
  • Coordinate the Annual General Meeting (AGM) and handle publication of the company’s annual accounts and reports.
  • Manage filing of annual returns at the Registrar General’s Department.
  • Keep custody of board documents, minutes, agendas, and the company’s seal.
  • Maintain and periodically update a file of company signatories.

Qualifications and Experience

  • Legal practitioner with a minimum of 10 years of experience in legal practice.
  • Qualification in secretaryship with at least 5 years in a similar role.
  • A degree in business administration is advantageous.
  • Thorough knowledge of the company’s core businesses, including human resource management, is a plus.

  • Valid practicing license as a lawyer.
  • Comprehensive understanding of company law, regulations, policies, and practices.
  • Excellent communication and interpersonal skills.
  • Proficiency in Microsoft Office.
  • Strong negotiation and analytical skills.
  • Ability to work under pressure.
  • Effective presentation and reporting skills.
  • Reliability and ability to maintain confidentiality.
  • Familiarity with workplace practices and policies.
