Head of Legal / Board Secretary
Job Summary
The appointed individual will act as the Chief Legal Advisor, overseeing and managing the legal department and board secretariat operations.
Key Responsibilities
- Advise the board of directors on legal matters.
- Represent the company in court and other legal forums.
- Ensure compliance with all legal requirements for company facilities.
- Provide legal opinions to management and other departments.
- Draft and review contracts and agreements for both management and board.
- Assist departments like portfolio management and recoveries in loan recovery efforts.
- Coordinate scheduling of board meetings, including preparation of notices and agendas.
- Liaise with all board committees to facilitate smooth operations.
- Maintain records of board meetings, proceedings, and decisions.
- Coordinate the Annual General Meeting (AGM) and handle publication of the company’s annual accounts and reports.
- Manage filing of annual returns at the Registrar General’s Department.
- Keep custody of board documents, minutes, agendas, and the company’s seal.
- Maintain and periodically update a file of company signatories.
Qualifications and Experience
- Legal practitioner with a minimum of 10 years of experience in legal practice.
- Qualification in secretaryship with at least 5 years in a similar role.
- A degree in business administration is advantageous.
- Thorough knowledge of the company’s core businesses, including human resource management, is a plus.

- Valid practicing license as a lawyer.
- Comprehensive understanding of company law, regulations, policies, and practices.
- Excellent communication and interpersonal skills.
- Proficiency in Microsoft Office.
- Strong negotiation and analytical skills.
