A rapidly growing financial institution is seeking an experienced lawyer with a strong background in company law and regulatory compliance to serve as the Head of Legal and Board Secretary.
Job Title: Head of Legal / Board Secretary
Job Summary
This role involves acting as the Chief Legal Advisor, overseeing the legal department, and managing the board secretariat operations.
Key Responsibilities
- Provide legal advice to the board of directors.
- Represent the company in legal matters and court proceedings.
- Ensure compliance with legal requirements for company facilities.
- Offer legal opinions to management and other departments.
- Draft and review contracts and agreements for management and board consideration.
- Assist in loan recovery efforts alongside portfolio management and recoveries departments.
- Coordinate board meetings, including scheduling, notice preparation, and agenda setting.
- Act as a liaison for board committees to facilitate smooth operations.
- Maintain records of board meetings, decisions, and proceedings.
- Oversee the organization of the AGM, including the publication of annual accounts and filing of annual returns.
- Safeguard board documents, minutes, agendas, and the company’s seal.
- Keep an updated file of company signatories.
Qualifications and Experience
- A legal practitioner with a minimum of 10 years in legal practice.
- Qualified in secretaryship with at least 5 years in a similar role.
- A degree in business administration is advantageous.
- In-depth knowledge of the company’s core business areas, including human resource management, is beneficial.
